Agreement to terms

By accessing or using the Cyclone Solutions website (cyclonesolutions.com) or engaging us for services, you agree to be bound by these terms. If you do not agree with any part of these terms, please do not use our website or services. These terms are governed by the laws of the Province of Ontario and the federal laws of Canada.

Services we provide

Cyclone Solutions provides website design and development, search engine optimization (SEO), digital marketing, website hosting, website maintenance, IT support, and software solutions. The specific scope, deliverables, timeline, and cost of any project will be outlined in a written quote or proposal provided before work begins.

Quotes and proposals

All quotes provided by Cyclone Solutions are valid for 30 days from the date of issue unless otherwise stated. A quote becomes a binding agreement once accepted in writing (email is sufficient). If the scope of a project changes after a quote is accepted, we will provide a revised quote for approval before proceeding with additional work.

Payment terms

For website design and development projects, we require a 50% deposit before work begins, with the remaining balance due upon completion and before the site goes live. All invoices are payable upon receipt unless otherwise stated on the invoice. We accept e-Transfer, credit card, and cheque. Late payments may result in service suspension after 30 days past due, with reasonable written notice provided beforehand.

Client responsibilities

To keep your project on schedule, we'll need your help with a few things: providing content (text, images, logos) in a timely manner, reviewing and approving deliverables within a reasonable timeframe, providing access to any third-party accounts we need (hosting, domain registrar, analytics, etc.), and designating a single point of contact for approvals. Delays caused by late content delivery or extended review periods may push back the project timeline.

Intellectual property

Upon full payment, you own the final website design, custom graphics, and content we create specifically for your project. We retain ownership of any pre-existing code, frameworks, templates, or tools used in the project, though you receive a perpetual license to use them as part of your site. We reserve the right to display the completed project in our portfolio and case studies unless you request otherwise in writing.

Hosting and maintenance

If you use our hosting or maintenance services, those services continue on a month-to-month basis until cancelled. Either party may cancel with 30 days written notice. Upon cancellation, we will provide a full backup of your website files and database. We are not responsible for data loss if you choose a hosting provider that does not maintain adequate backups after the transfer.

Warranties and disclaimers

We take pride in our work and stand behind it. We provide a 30-day warranty on all completed websites covering bugs, broken functionality, and display issues that existed at launch. This warranty does not cover issues caused by third-party plugins, hosting environment changes, or modifications made by someone other than Cyclone Solutions.

SEO services are provided on a best-effort basis. We do not guarantee specific search engine rankings, as rankings are controlled by search engines and influenced by many factors outside our control. What we do guarantee is that we will follow current best practices and put in the work.

Limitation of liability

To the maximum extent permitted by Ontario law, Cyclone Solutions' total liability for any claim arising from our services shall not exceed the total amount paid by you for the specific service giving rise to the claim. We are not liable for indirect, incidental, or consequential damages including lost profits, lost data, or business interruption.

Cancellation and refunds

If you need to cancel a project after work has begun, the deposit is non-refundable as it covers the planning, research, and design work completed up to that point. If we have completed more than 50% of the project at the time of cancellation, the full project fee is due. For ongoing services (hosting, maintenance, SEO), you may cancel at any time with 30 days notice. No refunds are issued for partial months.

Third-party services

Our work may involve third-party services such as domain registrars, hosting providers, analytics platforms, email services, or stock image libraries. These services are governed by their own terms and we are not responsible for their availability, performance, or policy changes. Any fees for third-party services are your responsibility unless explicitly included in our quote.

Confidentiality

We treat all client information as confidential. We will not share your business information, strategies, or data with third parties except as required to deliver our services (for example, providing content to a hosting provider for deployment). This obligation survives the termination of our working relationship.

Dispute resolution

If a disagreement arises, we prefer to resolve it through direct conversation first. If we can't reach a resolution informally, both parties agree to attempt mediation before pursuing legal action. Any legal proceedings will be conducted in the courts of Ontario, Canada.

Website use

You may browse our website for personal and business purposes. You may not reproduce, distribute, or scrape our website content without written permission. You may not use our website to transmit harmful code, attempt to access restricted areas, or interfere with the site's operation.

Changes to these terms

We may update these terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of our website or services after changes are posted constitutes acceptance of the revised terms. For active clients, material changes will be communicated directly.
